The Fold New State Promotion (the “Promotion”) is a limited-time promotional rewards offer for eligible users of the Fold mobile application (the “App”). Eligible Users who satisfy all Promotion requirements during the Promotional Period will receive a promotional reward, subject to verification by Fold, Inc. (the “Sponsor”) and these Promotion Terms and Conditions (the “Promotion Terms”).
Who Can Participate: The Promotion is open only to individuals who:
Agreement to Promotion Terms: By participating in this Promotion, you (“you” or “User”) agree to be bound by these Promotion Terms and Conditions (the “Promotion Terms”), the Fold Terms and Conditions, and any other applicable Fold policies incorporated by reference. All decisions of Sponsor regarding eligibility, qualification, verification, reward issuance, and interpretation of these Promotion Terms are final and binding to the maximum extent permitted by law. By participating, you release, discharge, and hold harmless Sponsor and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, and representatives (collectively, the “Promotion Parties”) from and against any and all claims, losses, damages, liabilities, costs, or expenses arising out of or related to: (a) your participation in the Promotion; (b) your failure to qualify for or receive the promotional reward; or (c) the acceptance, use, misuse, or possession of any promotional reward, except to the extent prohibited by applicable law.
Promotional Period: The Promotion begins on December 17, 2025, at 12:00 a.m. Eastern Time and ends on December 31, 2025, at 11:59 p.m. Eastern Time (the “Promotional Period”), unless earlier modified, suspended, or terminated or suspended by Sponsor in accordance with these Promotion Terms. For purposes of this Promotion, all dates and times are determined by Sponsor’s internal systems, which shall be the official timekeeping device for all matters relating to the Promotion. Completion of required actions is measured based on the timestamp recorded by Sponsor’s systems, not the User’s device or local time. Sponsor reserves the right to modify, suspend, or terminate the Promotion at any time, including prior to the end of the Promotional Period, due to budget limitations, fraud prevention, compliance considerations, technical issues, or other business or legal reasons, to the maximum extent permitted by law.
How to Participate: There is one method to participate in and earn the promotional reward. No alternative method of entry is available. During the Promotional Period, an Eligible User must complete all of the following steps through the Fold App:
Eligible Users who timely complete all required steps and otherwise comply with these Promotion Terms will receive the promotional reward, subject to Sponsor verification, applicable limits, and promotional budget availability. his Promotion is not a sweepstakes or game of chance, and participation and receipt of the promotional reward are not based on chance, odds, or random selection. All Eligible Users who satisfy the Promotion requirements during the Promotional Period are eligible to receive the same promotional reward, subject to verification, applicable limits, and promotional budget availability.
Technical Requirements; Carrier Charges: Participation requires access to the Fold App and the internet. Message and data rates may apply depending on your wireless carrier and mobile plan. Sponsor is not responsible for any mobile, data, internet, or other charges incurred in connection with participation in the Promotion. Internet access may not be available or free in all locations, and Sponsor does not guarantee uninterrupted or error-free access to the App.
Fold Account Requirement; Account Information: To participate in the Promotion, you must have a valid Fold Account on the App. You must maintain your Fold Account in good standing through the completion of the Promotional Period and until any applicable promotional reward is credited. Sponsor will rely on the information associated with your Fold Account for purposes of determining eligibility, verifying completion of Promotion requirements, and issuing the promotional reward. You are solely responsible for ensuring that all account information is accurate, current, and complete. Sponsor is not responsible for rewards not issued due to inaccurate, incomplete, or outdated account information.
Account Limits; Anti-Abuse; Identity Verification: Limit one (1) promotional reward per person, per Fold Account, as determined by Sponsor in its sole discretion. Any attempt to exceed this limit or otherwise circumvent the Promotion requirements, including through the use of multiple accounts, devices, email addresses, identities, scripts, bots, automated systems, or other artificial or fraudulent means, may result in disqualification and forfeiture or reversal of any promotional reward. The use of any robot, automation, script, or similar method to participate in the Promotion is prohibited. In the event of a dispute regarding the identity of a participant, Sponsor may determine eligibility based on the Fold Account holder, the verified identity associated with the account (including KYC records), device identifiers, transaction records, or other information reasonably relied upon by Sponsor. Sponsor’s determination shall be final and binding to the maximum extent permitted by law.
Reward Qualification, Verification, and Issuance: This Promotion is not a sweepstakes, drawing, or game of chance. There are no winners, odds, spins, or prize determinations. Eligible Users earn the promotional reward solely by completing the Promotion requirements in accordance with these Promotion Terms. A User will be deemed to have qualified for the promotional reward only after Sponsor verifies, in its sole discretion, that: (a) all required Promotion steps have been timely and properly completed; (b) the Qualifying Transaction has successfully settled and has not been canceled, reversed, refunded, or charged back; and (c) the user and transaction comply with these Promotion Terms, the Fold Terms and Conditions, and applicable law. No promotional reward is earned, vested, or guaranteed unless and until it is successfully credited to the user’s Fold account following Sponsor’s verification. If Sponsor determines that a user is ineligible, fails to satisfy any Promotion requirement, or violates these Promotion Terms, Sponsor may deny, withhold, delay, or reverse the promotional reward, even if a notification has been sent.
Promotional Reward Description: The promotional reward consists of 10,000 satoshis (“sats”), denominated in bitcoin, credited to the user’s Fold rewards balance. The promotional reward is not cash and is not redeemable for cash, has no fixed monetary or retail value and fluctuates based on the market price of bitcoin, is governed by the Fold Terms and Conditions applicable to rewards and bitcoin transactions, and may be subject to additional restrictions, limitations, or delays based on compliance, security, or regulatory requirements. Sponsor does not guarantee the market value, liquidity, or usability of bitcoin or sats at any time.
Reward Posting Date; Valuation: Subject to verification, promotional rewards are expected to be credited on January 2, 2026. Sponsor may delay posting for operational, compliance, fraud-prevention, or technical reasons. The “award date” for the promotional reward is the date on which Sponsor adjusts the rewards balance in the user’s Fold account. Any valuation or accounting treatment of bitcoin or sats for internal or reporting purposes will be determined by Sponsor in its sole discretion using data sources selected by Sponsor. Sponsor disclaims liability for price fluctuations, valuation discrepancies, or third-party data inaccuracies.
No Substitution; Taxes: No substitution, transfer, or assignment of the promotional reward is permitted, except that Sponsor may modify the method of fulfillment or substitute a reward of equal or greater value, as permitted by law. Users are solely responsible for all federal, state, and local taxes, fees, and reporting obligations associated with receipt or use of the promotional reward. Sponsor does not provide tax advice.
Publicity: Except where prohibited by applicable law, by participating in the Promotion and/or accepting a promotional reward, you grant Sponsor the right to use your username and, if you voluntarily make public statements or social media posts regarding the Promotion or the promotional reward, excerpts of such content, in connection with the administration, promotion, marketing, and advertising of the Promotion and Fold’s services, in any media now known or hereafter devised, worldwide, without additional compensation, notice, or approval.
Disqualification; Sponsor’s Decisions Final: Sponsor reserves the right, in its sole discretion and to the maximum extent permitted by law, to disqualify any user, deny, withhold, delay, or reverse any promotional reward, or otherwise restrict participation if Sponsor determines that the user: (i) has violated these Promotion Terms, the Fold Terms and Conditions, or any applicable Fold policy; (ii) is not eligible to participate in the Promotion; (iii) has provided false, misleading, or incomplete information; (iv) has engaged in fraud, abuse, manipulation, or attempted circumvention of the Promotion requirements; (v) has acted in a harassing, abusive, or disruptive manner toward Sponsor, any Promotion Party, or other users; or (vi) has interfered with or attempted to interfere with the operation, security, or integrity of the Promotion or the Fold App. All decisions by Sponsor regarding eligibility, qualification, verification, disqualification, and reward issuance are final and binding to the maximum extent permitted by law.
General Conditions: This Promotion is void where prohibited or restricted by law and is subject to all applicable federal, state, and local laws and regulations, as well as the Fold Terms and Conditions and Privacy Policy, each of which are incorporated by reference. Sponsor reserves the right to modify, suspend, or terminate the Promotion at any time, including due to fraud, abuse, technical failures, compliance concerns, regulatory requirements, platform limitations, or other business or legal considerations, to the maximum extent permitted by law. If the Promotion is terminated early, no additional promotional rewards will be issued, but any promotional rewards already credited in accordance with these Promotion Terms will remain subject to the Fold Terms and Conditions. Sponsor is not responsible for technical issues, system errors, interruptions, delays, or failures of any kind that may affect participation or reward issuance.
Limitation of Liability; Release: To the maximum extent permitted by applicable law, by participating in the Promotion and/or accepting a promotional reward, you agree to release, discharge, and hold harmless Sponsor and its parent companies, subsidiaries, affiliates, and each of their respective officers, directors, employees, agents, contractors, and representatives (collectively, the “Promotion Parties”) from and against any and all claims, liabilities, losses, damages, costs, or expenses arising out of or related to your participation in the Promotion, your failure to qualify for or receive a promotional reward, the acceptance, possession, use, misuse, or inability to use any promotional reward, or any technical, electronic, network, software, hardware, or system-related issues associated with the Fold App or the Promotion, including without limitation technical malfunctions or failures of equipment or systems, internet or application congestion, outages, delays or interruptions, unauthorized access, hacking, malware or other security incidents, failed, lost, delayed, incomplete, garbled or misdirected communications, errors in the administration of the Promotion or Promotion-related materials, or human, clerical, or operational errors; to the fullest extent permitted by law, the Promotion Parties shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, lost bitcoin, or loss of data), even if advised of the possibility of such damages, and in no event shall the aggregate liability of the Promotion Parties arising out of or relating to the Promotion exceed the value of the promotional reward actually credited to the user’s Fold account, if any, and under no circumstances shall you be entitled to recover attorneys’ fees or costs from the Promotion Parties.
Communications; Privacy: By participating in the Promotion, you consent to Sponsor’s collection, use, and sharing of your personal information as reasonably necessary to administer the Promotion, including, without limitation: determining eligibility; verifying completion of Promotion requirements (including KYC status and Qualifying Transaction completion); contacting you regarding participation, verification, or reward issuance; preventing fraud and abuse; complying with legal and regulatory obligations; and internal analytics and product improvement. Sponsor’s processing of personal information is governed by the Fold Privacy Policy, which is incorporated by reference. The Fold Privacy Policy describes the categories of data Sponsor collects, how Sponsor uses it (including to administer accounts, process purchases, deter fraud, communicate with users, comply with obligations, resolve disputes, and enforce terms), and how to contact Sponsor with privacy questions. You may be able to opt out of certain promotional communications as described in the Fold Privacy Policy; however, you cannot opt out of transactional or administrative communications related to your account, the Services, or the Promotion.
Governing Law: These Promotion Terms, and any dispute arising out of or relating to the Promotion, are governed by the laws of the State of Delaware, excluding conflict-of-law principles, except that the enforceability and interpretation of any arbitration provision is governed by the Federal Arbitration Act and applicable federal arbitration law.
Disputes; Arbitration; Class Action Waiver: This Promotion is offered through the Fold App and is part of the Services. Accordingly, the dispute resolution provisions in the Fold Terms and Conditions are incorporated by reference and apply to disputes arising out of or relating to the Promotion. Consistent with the Fold Terms and Conditions, disputes are subject to binding arbitration (with a class action waiver and waiver of jury trial), and arbitration hearings are to be held in Phoenix, Arizona, subject to the terms’ small-claims option and other procedural details. Fold’s terms also provide that if a user’s arbitration claim is under $10,000, Fold will reimburse filing fees at the conclusion of the proceeding unless the claim is found frivolous by the arbitrator. If there is any conflict between these Promotion Terms and the Fold Terms and Conditions regarding dispute resolution, the Fold Terms and Conditions control.
No Affiliation: This Promotion is not sponsored, endorsed, or administered by, or associated with Apple Inc. or Google LLC. Apple and Google are not responsible for the Promotion and do not assume any liability with respect to it.
